5. What an engagement includes
Each service is confirmed in a short engagement letter that states the scope, the records we need, the fee and the date the written output is due. A Margin Structure Review runs over three weeks and ends with a per-line margin table and a written note; a Price Position Discussion is one three-hour session for up to four people from your side; a Quarterly Figures Review is booked one quarter at a time. Anything not listed in the letter is outside the engagement until we agree it in writing.
6. The nature of our advice
Our notes explain what your own figures show and set out the reasoning behind different pricing positions. They are not an audit, a tax return, a valuation or an investment recommendation, and they do not replace the work of a certified public accountant or tax accountant. Decisions about prices, suppliers and staffing remain yours, and results depend on market conditions we cannot control.
7. Accuracy of the records you provide
The quality of a review depends on the quality of the records behind it. You agree to supply figures that are complete for the period being reviewed and to tell us about known gaps, one-off items or changes in accounting method. Where we find inconsistencies we will point them out, but we cannot be responsible for conclusions drawn from figures that were incomplete or incorrect when we received them.
8. Fees, rescheduling and cancellation
Fees are invoiced when the engagement letter is signed and are payable within thirty days by bank transfer. A price position session can be moved once free of charge if you give at least five business days' notice. If you cancel a margin structure review after we have started working on your records, we charge for the work already done, up to the full fee.
9. Limitation of liability
Except in cases of intent or gross negligence, the total liability of Green Azalea Kabushiki Kaisha arising from an engagement is limited to the fee paid for that engagement. We are not liable for lost profit or indirect loss following a pricing or cost decision you make after reading our notes.
10. Confidentiality in both directions
We keep your figures and the content of our discussions confidential, and we ask the same in return for our working notes and pricing comparisons, which are prepared for your internal use. You may share the written note with your accountant, bank or board; please ask before publishing any part of it.
11. Entire agreement
For an engagement, these terms and the engagement letter together form the whole agreement between us. If they conflict, the engagement letter prevails, because it is written for your particular review.
